Management bodies in a joint-stock company

The joint-stock form of economic activity inherent in a market economy was superseded during the planning period, which broke the tradition of development of corporate legislation, which, both in Anglo-Saxon and continental systems, was formed historically and today reflects the centuries-old practice of corporate governance and control bodies, interaction with shareholders, business management and decision-making. Transformation of the legal person's theories with respect to relations in the globalized digital economy leads to «a chaotic» (E.A. Sukhanov) of the array of legislation, the emergence and implementation of new (mainly for Russia) principles of legal regulation of corporate relations and corporate governance, actively discussed principle of «two keys», contradictorily implemented, and to some extent risky for corporations.
